減資是指公司將部分發行在外的股票收回註銷。

一般來說，公司減資有三種情況，第一是嚴重虧損的公司藉著減資打掉累積虧損，讓公司有重新出發的機會。第二種情況是實施庫藏股制度的公司，買回自家公司股票，並將庫藏股註銷減資。第三種情況是處於獲利的公司，以現金將資本還給股東。

第一種狀況中，以南科為例，因減資比率達九成，持股十張以下的投資人，勢必面臨零股交易，造成交易不便。
